Announcement of the thirteenth Board resolution of the first session

On June 19, 2000, the first session of the 12th Board of Directors was held in the large conference room of the company。Director due11 people, including 9 directors, and the other two directors entrusted their representatives to attend the meeting. The meeting procedures are in accordance with the Company Law of the People's Republic of China and the Articles of Association of the Company.。On June 16, 2000, the Board of Directors of the Company received a letter from Anhui Tongfeng Electronics (Group) Company, a major shareholder, on the Proposal to amend the Articles of Association II。After careful study by the Board of Directors of the Company and the wishes of the Company itself, the majority shareholder's proposal is agreed to add the following motions to the 1999 Annual General Meeting:

1, amend Article 11 of the Articles of Association of the Company, "Other senior managers referred to in the Articles of Association refer to the secretary of the Board of directors and the person in charge of finance。The term "senior management personnel" as mentioned in these Articles of Association refers to the general manager, deputy general manager, secretary of the board of directors and the person in charge of finance of the company;

2. Shanghai Securities News is the newspaper selected by the Company to publish company announcements and other required information disclosure, and the corresponding provisions of Articles 168, 171 and 180 of the Articles of Association of the Company are amended accordingly。
