1. Amendments to the agenda of the annual General meeting of 1999

2000/05/31 In the agenda of the meeting of "Announcement of the Convening of the 1999 Annual General Meeting" published in Shanghai Securities News, the article is amended as "Election of the second Board of Directors and the Board of Supervisors".。

2. The second Board of Directors will be elected

Whereas the company40 million A-shares have been listed on the Shanghai Stock Exchange on June 9, and the first board of Directors has successfully completed the "full authority to deal with the public issuance and listing of social public shares" granted by the 1998 annual General meeting of shareholders。According to the Company Law and the Articles of Association of the Company, the term of the first Board of Directors has expired, and the second board of directors will be elected at the 1999 annual general meeting of the Company。

3. Passed the candidate plan for the second Board of Directors。

Recommend Chen Shengbin, Cheng Rongshun, Ma Yongxin, Chang Rongqing, He Shide, Wang Shouxin, Wang Xiaoyun, Dai Xianping, Xu Yinqi, Li Li and Jiang Hao as candidates for the second term of the Board of Directors, and their resumes are attached。

4. Add items to be discussed at the 1999 Annual General Meeting

Agreed to the majority shareholder Anhui Tongfeng Electronics (Group) company's interim proposal, inAt the annual General meeting of shareholders in 1999, the motion to amend Article 93 and Article 135 of the Articles of Association was added for consideration, and it was decided that the voting time of this motion should be before the voting of the second Board of Directors and the Board of Supervisors. The contents of this provisional proposal were as follows:
